CONSULTATION SERVICES

> TERMS & CONDITIONS

These Terms and Conditions will apply to the event consultation services (the Services) provided by The Mood Ltd, a company registered in England and Wales whose registered office is at 32 Cruickshank Grove, Crownhill, Milton Keynes, England, MK8 0ED (the Supplier, we or us) to you (the Customer or you).

Please be sure to read and make sure you understand these Terms and Conditions before booking an event consultation with us. By ordering the Services you agree to be bound by these Terms and Conditions.

> SERVICES

We shall supply to You event consultation services. The services provided will depend on the package purchased by you:

• Package One includes a 30-minute online consultation with a curator and the provision of one mood board.
• Package Two includes a 30-minute online consultation with a curator, one general mood board and one personalised mood board. Package Two will also include an introduction to vendors relevant to your event.

All consultation Services are subject to our curator’s availability.

Once a mood board is finalised and provided to you in accordance with these Terms and Conditions, it shall not be subject to any changes or revisions.

> FEES

• The fees for the Services and any other charges are as set out on the booking section of the website.
• The fees are non-refundable, save as otherwise specified in the Cancellation section of these Terms and Conditions.
• Unless otherwise agreed with us in advance, the fees include an online consultation only. Any in-person consultations may incur additional fees and are subject to the availability of our curators.

> CANCELLATION

• You may re-schedule or cancel your consultation up to 48 hours in advance of the original scheduled date of the consultation by contacting your allocated curator.
I• f you re-schedule or cancel your consultation less than 48 hours in advance of the original scheduled date, you will be charged 50% of the fees.

> SUPPLIER'S RESPONSIBILITIES

In providing the Services, we will:

• Use reasonable endeavours to supply the Services in accordance with these Terms and Conditions in all material respects; and
• Use reasonable endeavours to meet any deadlines agreed with you, but on the understanding that any such deadlines shall be estimates only and may be subject to change.

> CUSTOMER'S RESPONSIBILITIES

By agreeing to these Terms and Conditions, you accept that you will:

• Provide to us all of the necessary information we need to perform our obligations in relation to these Terms and Conditions, within enough time to enable us to perform the Services properly. We will not be responsible for any delay in delivery of the Services caused by failure by you to provide us with relevant information in a timely manner; and
• Co-operate with the us in all matters relating to the provision of the Services.

> VENDOR INTRODUCTIONS

• Where you have selected Package Two services, we may provide to you the details of recommended vendors to suit your event needs. By agreeing to these Terms and Conditions, you expressly agree to us sharing your contact details with such vendors.
• Our role is strictly limited to introducing you to potential vendors for your event. Once you have been introduced to the relevant vendors, you are solely responsible for entering into any agreement or contractual relationship with them directly.
• You are solely responsible for determining the suitability of any vendor and we will not be responsible for any of the goods or services provided to you by them.
• We may charge vendors a commission fee for introducing you as a potential client to them.
• Any vendor details we provide to you are to be treated confidentially and you agree that you will not share them with any third party without our prior consent.

> YOUR USE OF THE SERVICES & RELATED CONTENT

• All intellectual property rights in any materials and content comprising the Services, including any mood boards provided to you, belong to us [or our third-party licensors]. This includes, but is not limited to, the design, structure, selection, coordination, “look and feel” and arrangement of the materials and content.
• Unless expressly permitted by us, you agree:
• not to copy, or attempt to copy any mood board or any other portion of the Services;
• not to share any mood boards or content provided pursuant to the Services with any third party; and
• not to give or sell or otherwise make available any mood board or any other portion of the Services to anyone else.

> YOUR PERSONAL INFORMATION

• When registering to use our website or order the Services you may set up a username and a password. You are responsible for keeping your account information confidential.
• Where you supply personal data to us so we can provide Services to you, we will comply with our obligations imposed by relevant data protection legislation.

> GENERAL
• We may change these Terms and Conditions at any time. If any clause of these Terms and Conditions shall be deemed unlawful, void or for any reason unenforceable, then that clause shall be deemed severable from the • Terms and Conditions and shall not affect the validity and enforceability of the remainder of these Terms and Conditions which shall continue to have full force and effect.
• We will not be responsible to you for any delay or failure to comply with our obligations under these Terms and Conditions if the delay or failure arises from any cause beyond our reasonable control.
• If you breach these Terms and Conditions and we take no action we will still be entitled to use our rights and remedies in other situations where you are in breach. No waiver by us shall be construed as a waiver of any proceeding or succeeding breach of any clause of these Terms and Conditions.
• The provisions of the Contracts (Rights of Third Parties) Act 1999 are expressly excluded from these Terms Conditions such that no third party may claim any rights under these Terms and Conditions.
• These terms and conditions shall be governed by and construed in accordance with English law.
Any disputes relating to these terms and conditions shall be subject to the non-exclusive jurisdiction of the courts of England.
